PartnerPro Ltd Terms & Conditions

These Terms and Conditions (“Terms”) govern your use of PartnerPro Ltd (“PartnerPro,” “we,” “our,” or “us”) services, websites, and software platforms (collectively, the “PartnerPro Services”). By using our services, you agree to these Terms. If you do not agree, do not use the PartnerPro Services.
1. Company Information
PartnerPro Ltd is registered in England and Wales (Company No: 15399226) with its registered office at 1 Oak Court, 67-72 Bethel Road, Sevenoaks, Kent, United Kingdom, TN13 3UE. We provide software solutions including CRM, digital loyalty systems, staff rota management, financial ledger tools, and other business management software.
2. Definitions
- “Client” means any individual or organisation purchasing or using the PartnerPro Services.
- “Platform” refers to all PartnerPro software and systems, including proprietary and third-party powered services.
- “Third-Party Providers” include but are not limited to GoHighLevel LLC and Boomerangme FZ-LLC.
- “Agreement” means these Terms, the Privacy Policy, and any other related documents.
3. Scope of Services
PartnerPro offers a range of software products including but not limited to:
- PartnerPro CRM (powered by GoHighLevel)
- PartnerPro Loyalty (powered by Boomerangme)
- PartnerPro Ledger, Rota, and other custom-built systems
We may add, modify, or discontinue services at any time with reasonable notice.
4. Account Registration & Access
- Clients must provide accurate and complete registration details.
- Clients are responsible for maintaining the confidentiality of login credentials.
- PartnerPro may suspend or terminate accounts if we detect misuse, unauthorised access, or non-payment.
- You are solely responsible for any activity conducted through your account.
5. Trials, Subscriptions & Payments
- Trial periods, where offered, are free for the specified duration and will automatically convert to a paid subscription unless cancelled before expiry.
- Subscription fees are billed monthly or annually in advance via Stripe or invoice, as agreed.
- All fees are exclusive of VAT (where applicable).
- Payments are non-refundable, except where required by law. Clients may cancel any time, but access continues until the end of the billing cycle.
- PartnerPro reserves the right to adjust pricing with at least 30 days’ notice.
6. Refund & Cancellation Policy
- Monthly Plans: No refunds are issued once a new billing cycle has begun.
- Annual Plans: Refunds may be offered pro-rata within 14 days of renewal, at PartnerPro’s discretion.
- Trials: Free trials may be cancelled anytime before conversion to paid plans.
- Custom Projects: Deposits and milestone payments for custom software or integrations are non-refundable once work has commenced.
7. Data Ownership & Responsibilities
- Clients own all data entered into the PartnerPro platform.
- PartnerPro acts as a data processor for client data and a data controller only for data we collect directly (e.g., billing, support).
- Clients are responsible for ensuring their data use complies with employment, tax, and data protection laws.
- PartnerPro does not verify or take responsibility for data accuracy or legality (e.g., undeclared cash-in-hand workers).
- Clients grant PartnerPro a non-exclusive licence to host, process, and back up their data solely to deliver the services.
8. Use of Third-Party Services
- Certain PartnerPro Services operate on third-party platforms, including GoHighLevel LLC and Boomerangme FZ-LLC.
- PartnerPro provides access as an authorised vendor and is not responsible for third-party system availability, updates, or data-handling practices.
- Clients must comply with third-party terms of service.
- PartnerPro may change its technology partners at any time without materially reducing functionality.
9. Acceptable Use
Clients agree not to:
- Use the Platform for unlawful, misleading, or harmful activity.
- Upload data that breaches privacy or employment laws.
- Resell or share access without written consent.
- Attempt to reverse engineer, copy, or exploit the software.
- Use automated systems to scrape or overload the Platform.
PartnerPro reserves the right to suspend or terminate accounts in violation of this policy.
10. Intellectual Property
- All software, designs, trademarks, and content within the PartnerPro Services remain the exclusive property of PartnerPro Ltd.
- Clients receive a limited, non-transferable, revocable licence to use the software during their subscription.
- Any feedback, suggestions, or ideas submitted to PartnerPro may be used freely to improve our products without compensation or obligation.
11. Confidentiality
Both parties agree to maintain the confidentiality of any non-public business, financial, or technical information exchanged during the relationship. This obligation survives termination.
12. Data Disclosure & Legal Compliance
PartnerPro will not disclose client data except:
- When required by law, court order, or lawful warrant.
- When necessary to protect PartnerPro’s rights or prevent illegal activity.
Where legally permitted, PartnerPro will notify the client prior to disclosure.
13. Liability & Disclaimers
- PartnerPro makes no guarantees of uninterrupted access or error-free operation.
- To the fullest extent permitted by law, PartnerPro’s total liability is limited to the total fees paid by the client in the preceding 12 months.
- PartnerPro shall not be liable for indirect, incidental, or consequential losses, including loss of profit, business, or reputation.
- Clients are solely responsible for backups of their own data.
14. Termination
- Clients may terminate their subscription at any time via written notice or account settings.
- PartnerPro may terminate access for breach, non-payment, or misuse.
- Upon termination, access will cease and client data will be retained for up to 60 days before secure deletion.
- Clients may request data export prior to deletion.
15. Modifications to Terms
PartnerPro may update these Terms from time to time. Updates take effect upon posting to our website. Material changes will be communicated to clients via email or dashboard notification.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
